Terms of Sale

Terms and conditions for B2B quotations, orders and deliveries from Jiangmen CNCT Co., Ltd.

These terms describe how we quote, produce and ship for commercial buyers. They are written for B2B transactions; the final version should be reviewed by CNCT's legal adviser and any market-specific addendum attached per country.

1. Scope

These conditions apply to quotations, order confirmations and deliveries of steel sheet-metal products by Jiangmen CNCT Co., Ltd. (the "Supplier") to commercial buyers (the "Buyer"). They apply to businesses, not consumers. Deviating terms of the Buyer apply only if the Supplier confirms them in writing.

2. Quotation and conclusion of contract

Quotations are valid for 30 days unless stated otherwise, and are subject to raw material availability. A contract is concluded when the Supplier issues a written order confirmation or proforma invoice that the Buyer accepts.

3. Prices and Incoterms

Prices are quoted in USD unless agreed otherwise, on the Incoterm named in the quotation (FOB Yantian / Nansha by default; CIF, CFR, DAP or DDP on request). Prices exclude duties, import taxes and any destination charges unless the quotation explicitly states DDP.

4. Payment

Standard terms are 30% deposit with the order and 70% against the bill of lading copy, unless otherwise agreed in writing. The Supplier may require an irrevocable letter of credit or full prepayment for first orders.

5. Samples, tooling and specification

Sample costs and sample lead times are quoted separately. Where the Buyer approves a sample, the frozen specification sheet (dimensions, material, finish, packaging) forms part of the contract. Tooling developed specifically for the Buyer remains the Supplier's property unless purchased by the Buyer.

6. Delivery and delays

Delivery periods are quoted in working days from receipt of the deposit and approval of all artwork and specifications. They are estimates; the Supplier is not liable for delays caused by force majeure, material shortages or events outside its reasonable control.

7. Quality, inspection and warranty

Products are manufactured to the approved specification sheet and inspected before shipment. Welded structures carry a 3-year warranty against manufacturing defects. The warranty covers repair, replacement parts or credit at the Supplier's discretion and excludes damage from misuse, improper installation, chemical exposure or modification by third parties.

8. Claims

Visible defects must be notified within 30 days of arrival at destination with photographs and, where relevant, inspection evidence. Quantity discrepancies must be notified within 15 days of arrival. Claims do not suspend payment obligations for accepted goods.

9. Liability

Liability is limited to the invoice value of the affected goods. The Supplier is not liable for indirect or consequential loss, loss of profit, or costs of substitute procurement. Mandatory statutory liability remains unaffected.

10. Intellectual property

Drawings and specifications supplied by the Buyer remain the Buyer's property and are used only for the Buyer's orders. The Supplier will not produce identical tooling for third parties using the Buyer's proprietary designs while the project remains active. An NDA is available on request.

11. Governing law and disputes

These conditions are governed by the laws of the People's Republic of China. Disputes shall be resolved by an arbitration institution or a competent court agreed by both parties.
